1. Introduction
Matrix Trading Solution (“MTS”, “we”, “our”, “us”) provides software, dashboards, analytics, and workflow tools that may interface with blockchain networks, third-party wallets, decentralized exchanges (“DEXs”), payment processors, and KYC/AML service providers (collectively, “Third-Party Services”). We are a software platform; we do not custody user assets unless explicitly stated in product documentation for a specific feature.
2. Acceptance of Terms
- By creating an account, clicking “I Agree,” or using any part of the Services, you agree to be bound by these Terms and any policies referenced herein (e.g., Privacy Policy, Risk Disclosures).
- If you use the Services on behalf of an organization, you represent that you have authority to bind that entity.
- Supplemental terms may apply to certain features (e.g., staking, booster, referrals, child accounts). If there is a conflict, the supplemental terms prevail for that feature.
3. Eligibility & Geographic Restrictions
- You must be at least 18 years old and capable of forming a binding contract.
- You confirm you are not a resident of, located in, or otherwise accessing the Services from any jurisdiction where use of similar services is restricted or where we have chosen to geoblock or limit access (including OFAC-sanctioned regions).
- You must not be subject to sanctions or on any restricted list maintained by applicable authorities.
4. Accounts, Security & KYC/AML
- You may be required to complete identity verification (KYC) and ongoing monitoring (AML/CFT). You agree that we may share necessary information with verification vendors in line with our Privacy Policy.
- You are responsible for safeguarding credentials, enabling 2FA where available, and promptly notifying us of any suspicious activity. Activity under your account is deemed authorized by you.
- We may, at our discretion, limit, freeze, or close accounts to manage risk, comply with law, or for policy violations.
5. Deposits, Wallets & Withdrawals
Deposit and withdrawal flows may rely on smart contracts or third-party payment rails. Always test with small amounts and verify addresses and networks (e.g., TRC20, BEP20) before sending funds.
- Processing & Finality. On-chain transactions are generally irreversible. We are not responsible for user mistakes (wrong address, wrong chain, memo/tag omissions).
- Settlement Delays. Network congestion, vendor outages, or compliance reviews may cause delays.
- Unsupported Tokens. Sending unsupported assets or to the wrong network may result in permanent loss.
- Chargebacks & Fraud. We reserve the right to investigate and reverse crediting for suspected fraud.
6. Earnings, ROI Statements & Maturity Cap
Any earnings, projections, APRs, APYs, “daily rate,” or “maturity cap” references on the platform are illustrative and not guaranteed. Returns can be variable, reduced, or zero, and you may lose principal.
- Maturity Cap (300%). Where a feature references a 300% lifetime cap relative to your principal deposit, that is a program rule, not a promise of payout. It defines a maximum on counted earnings; it does not guarantee you will reach that cap.
- Early Unstaking / Penalties. If unstaking or closing positions before maturity, penalties or reduced returns may apply.
- Backend Calculation. Final distribution/settlement is calculated server-side and may differ from interim UI estimates.
7. Booster, Referrals, Levels & Team Business
Promotional features (e.g., booster, referral incentives, level income, team business volume “TBV”, tier rewards) are programmatic rules that may change or be paused at any time. Compliance, fraud checks, and KYC outcomes can affect eligibility and crediting.
- Booster Qualification. Typically requires a certain number of direct, KYC-verified referrals with a qualified first deposit within a time window. We may disqualify referrals deemed fake, fraudulent, self-referred, or otherwise ineligible.
- TBV & Leg Caps. Team volume may be subject to per-leg caps (e.g., 40%). Caps are applied at our discretion and may change for risk control.
- Reversal & Clawbacks. If a referral reverses, refunds, or is flagged, associated rewards can be revoked or clawed back.
8. Child Accounts & Generations
Some programs allow “child accounts” after maturity, with limits (e.g., max two children per parent, up to three generations). Rules are administrative constraints and may change. Child creation is not guaranteed.
9. Fees, Taxes & Charges
- We may charge platform, network, processing, or partner fees. Fees are disclosed at point of use where feasible.
- You are responsible for all applicable taxes. We do not provide tax advice.
10. Market, Technology & Regulatory Risks
- High volatility, smart-contract bugs, oracle failures, and custodian risks can result in losses.
- Integration partners may change terms, suspend access, or experience outages.
- Regulations may restrict features or require additional information or limits on accounts.
11. Prohibited Conduct
- Illegal activity, fraud, money laundering, sanctions evasion, or market manipulation.
- Using bots/scrapers that impair Services, DDoS, exploiting bugs, reverse engineering beyond permitted scope.
- Circumventing geoblocks, ban evasion, or creating fake/duplicate accounts.
12. Intellectual Property
The Services, including UI components, logos, text, images, software, and proprietary models are owned or licensed by us and are protected by IP laws. You receive a limited, revocable, non-transferable license to access and use the Services for lawful purposes under these Terms.
13. Privacy, Cookies & Communications
Our Privacy Policy explains how we collect, use, and share data, including with KYC/AML vendors and analytics providers. By using the Services, you consent to receiving service-related communications (e.g., verification, security alerts, product updates). You may control certain marketing preferences as provided.
14. Compliance, Investigations & Freezes
We may request information, suspend features, or freeze balances to meet legal obligations, respond to subpoenas, or investigate suspicious activity. We may share information with regulators or law enforcement in accordance with applicable law.
15. Suspension & Termination
- We may suspend or terminate your access for policy violations, risk control, fraud, or regulatory reasons.
- Upon termination, certain rights and obligations survive (e.g., IP, disclaimers, limitations of liability).
16. Disclaimers
The Services are provided “AS IS” and “AS AVAILABLE,” without warranties of any kind, express or implied, including fitness for a particular purpose, merchantability, non-infringement, uninterrupted or error-free operation, or accuracy of data/metrics. You rely on the Services at your sole risk.
17. Limitation of Liability
To the fullest extent permitted by law, in no event will we be liable for indirect, incidental, special, punitive, or consequential damages, loss of profits, data, goodwill, or other intangible losses, even if advised of the possibility. Our aggregate liability in any 12-month period will not exceed the fees you paid to us for the Services giving rise to the claim, if any.
18. Indemnification
You agree to defend, indemnify, and hold harmless MTS, its affiliates, directors, employees, and partners from any claims, losses, damages, and expenses (including reasonable legal fees) arising from your use of the Services, violation of these Terms, or infringement of any rights.
19. Dispute Resolution & Arbitration
Except where prohibited, disputes shall be resolved through binding arbitration on an individual basis. You waive any right to participate in a class action. The arbitration venue, rules, and language will be specified in the final executed policy for your jurisdiction. You may seek injunctive relief in a court of competent jurisdiction.
20. Governing Law & Jurisdiction
These Terms are governed by the laws of India, without regard to conflict of law principles. Subject to the arbitration clause above, courts located in {Your City, India} will have exclusive jurisdiction.
21. Changes to Services & Terms
We may update these Terms or modify/disable features at any time, including for risk, market, or regulatory reasons. Material changes will be posted on the platform and the “Last updated” date will change. Continued use after changes constitute acceptance.
22. Miscellaneous
- Severability. If any provision is held invalid, the remaining provisions remain in effect.
- No Waiver. Failure to enforce a right is not a waiver.
- Assignment. You may not assign these Terms without our consent; we may assign as part of corporate restructuring, merger, or sale.
- Entire Agreement. These Terms (plus referenced policies) are the entire agreement between you and us.
